08

Payments & Billing

Certain services may be provided on a paid basis. Fees, pricing, payment schedules, taxes, and billing terms will be communicated through the applicable proposal, quotation, subscription plan, invoice, order form, or written agreement.

Unless otherwise agreed in writing, invoices are payable within the payment period specified on the applicable invoice. You are responsible for providing accurate billing information and paying all applicable charges when due.

Failure to make timely payments may result in suspension or limitation of services. We may also charge reasonable late fees or interest where permitted by applicable law and the relevant agreement.

Fees paid for services are generally non-refundable unless otherwise stated in the applicable agreement or required by applicable law.

09

Confidentiality

During the course of providing services, each party may receive confidential information belonging to the other party. Confidential information may include business information, technical information, financial information, customer information, product plans, security information, and other non-public information.

Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the applicable business relationship.

Confidentiality obligations do not apply to information that is publicly available without breach, was already lawfully known, is independently developed without use of confidential information, or is lawfully received from a third party without confidentiality restrictions.

A party may disclose confidential information when required by law or legal process, provided that, where legally permitted, reasonable notice is provided to the other party.

Privacy & Data Protection

We take privacy and data protection seriously. Personal information collected through our website and services is handled in accordance with our Privacy Policy and applicable data protection laws.

Depending on the nature of the services, Moltis may process personal information on behalf of customers or as an independent controller. The applicable roles and responsibilities may be defined in a separate agreement or data processing agreement.

You are responsible for ensuring that you have the necessary rights, permissions, and lawful basis to provide personal information or other data to us for processing.

We implement reasonable technical and organizational measures designed to protect information against unauthorized access, loss, misuse, alteration, or disclosure. However, no method of electronic transmission or storage can be guaranteed to be completely secure.

11

Third-Party Services

Our services may integrate with or depend on third-party products, platforms, software, APIs, hosting providers, payment processors, or other external services.

Your use of third-party services may be subject to the third party's own terms, conditions, and privacy policies. Moltis does not control third-party services and is not responsible for their availability, performance, security, or content.

Where a third-party service is required for the functionality of a solution, changes or interruptions to that third-party service may affect the availability or performance of our services.

12

Service Availability

We aim to provide reliable and secure services, but we do not guarantee that our website or services will always be available, uninterrupted, error-free, or free from security vulnerabilities.

Services may occasionally be unavailable due to scheduled maintenance, emergency maintenance, upgrades, technical failures, internet connectivity issues, third-party dependencies, or circumstances beyond our reasonable control.

We may temporarily suspend or restrict access when necessary to protect the security and integrity of our systems, comply with legal requirements, or prevent misuse.

13

Limitation of Liability

To the maximum extent permitted by applicable law, Moltis and its directors, officers, employees, affiliates, partners, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of our website or services.

This may include loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising from or related to the services will be limited to the amount you paid to Moltis for the specific services giving rise to the claim during the applicable period, unless a different limitation is required by a separate written agreement.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

We may suspend or terminate your access to our services if you materially breach these Terms, fail to make required payments, engage in unlawful or harmful activity, or create a security or operational risk.

Upon termination, your right to access and use the applicable services will cease. Provisions that by their nature should survive termination, including intellectual property, confidentiality, payment obligations, limitation of liability, indemnification, and governing law, will continue to apply.
